1.0 Acceptance of Terms & Technical Scope

1.1 Binding Agreement

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "user," "client," or "visitor"), and FTRP Contractor Ltd ("FTRP," "we," "us," or "our"), concerning your access to and use of our public website, client portals, and cloud-based collaborative environments (collectively, the "Website"). By accessing the Website, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Website, and you must discontinue use immediately.

2.0 Intellectual Property & Proprietary Assets

2.1 Ownership of Digital Materials

Unless otherwise indicated, the Website, including its entire source code, databases, website layouts, audio, video, text, photographic assets, and graphics (collectively, the "Content"), as well as all trademarks, service marks, and logos contained therein, are owned or controlled by FTRP or licensed to us. They are protected by copyright, trademark, and other intellectual property laws of the Republic of Malawi and international conventions.

2.2 Proprietary Engineering Logic

A fundamental pillar of FTRP's operational advantage is our "Build Twice" philosophy. All digital engineering assets, including but not limited to:
  • Coordinated three-dimensional architectural and structural layouts,
  • Parametric visual programming and algorithmic spatial optimization scripts,
  • Specialized hydrodynamic simulation configurations and hydraulic pipeline networks,
  • Solar photovoltaic yield optimization and system stability models,
  • High-LOD fabrication-ready detailing and connection models,
  • Asset Information Models (AIM) and integrated CO2e or LiFePO4 battery monitoring structures,

remain the exclusive intellectual property of FTRP. You are strictly prohibited from copying, extracting, reverse-engineering, or utilizing these proprietary design templates or scripts for any derivative works or external projects without our express, prior written consent.

2.3 Limited Access License

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Website solely for informational, non-commercial purposes or to interact with FTRP regarding active or prospective design-build projects. No part of the Website or Content may be reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, or otherwise exploited for any commercial purpose whatsoever without our prior written permission.

3.0 Acceptable Use & Security Protocols

By utilizing our Website and its integrated portals, you agree to adhere to strict professional, safety, and ethical boundaries.

3.1 Prohibited Activities

You shall not:
  1. 1.System Interference: Systematically retrieve data or other content from the Website to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.

  4. 4.Platform Deception: Attempt to bypass, trace, or expose the specific software applications, vendor suites, or programming pipelines utilized by FTRP behind our generic technical descriptions.
  5. 5.Unauthorized Access: Attempt to gain unauthorized access to our secure client dashboards, project directories (including 01_WIP, 02_SHARED, and 03_PUBLISHED folders), or employee communication channels.
  6. 6.Vulnerability Scanning: Probe, scan, or test the vulnerability of the Website, or breach our security or authentication measures (including Multi-Factor Authentication protocols).

4.0 Client Dashboards & Portal Security

For clients and subcontractors accessing secure project folders, interactive BIM dashboards, or real-time progress portals:

4.1 Account Registration & Credentials

You may be required to register and maintain an active user account. You agree to provide accurate, current, and complete information during the registration process and to keep your credentials strictly confidential.
  • You are entirely responsible for maintaining the confidentiality of your username, password, and secure tokens.
  • Multi-Factor Authentication (MFA) is mandatory for all portal logins.
  • You agree to notify us immediately at info@ftrpcontractors.com of any unauthorized use of your account or any other breach of system security.

4.2 Digital Participation Agreement

All subcontractors, structural consultants, and vendors accessing our CDE must sign a separate Digital Participation Agreement outlining model contribution timelines, software-agnostic data exchange protocols, and spatial clash resolution liabilities. The terms of that agreement shall supersede these Website Terms in the event of any operational or structural model dispute.

5.0 Disclaimers & Technical Limitations

While FTRP strives for absolute precision in both our virtual models and physical structures, you expressly acknowledge the following disclaimers regarding the digital information displayed on this Website:

5.1 Model vs. Reality Liability

Any 3D visual models, interactive structural renderings, topographic maps, or structural simulations displayed on this Website are for conceptual, schematic, or illustrative purposes only. They do not constitute final, constructible contract documents.
  • In the event of any discrepancy between a digital model and physical site conditions, the physical measurements established on-site using precise, calibrated surveying instruments shall take complete precedence.
  • FTRP is not liable for structural, hydrological, or energy performance variances resulting from inaccurate site surveys provided by clients or underground utility mapping data provided by third-party municipal authorities.

5.2 Environmental & Yield Predictions

All environmental and sustainability metrics, including carbon reduction indices (CRI), waste diversion rates (WDR), and solar energy yield outputs, are modeled based on standardized weather telemetry and theoretical mathematical calculations. Actual real-world performance may vary based on microclimate fluctuations, equipment degradation, local air quality, and adherence to our prescribed maintenance schedules.

5.3 Website Availability

We reserve the right to change, modify, or remove the contents of the Website at any time or for any reason at our sole discretion without notice. We also reserve the right to interrupt, suspend, or terminate access to the Website or portals to perform routine technical maintenance, updates, or security patches. FTRP will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Website.

6.0 Compliance with CIRA Act No. 28 of 2025

FTRP operates under strict statutory governance, actively maintaining peer accountability and engineering excellence.

6.1 Regulatory Jurisdiction

Our digital and physical operations comply with the regulatory baselines enforced by the Construction Industry Regulatory Authority (CIRA) under the Construction Industry Act No. 28 of 2025 of the Republic of Malawi.
  • Any project specifications, tender submissions, or subcontractor registration portals hosted on this Website conform to CIRA's registration, licensing, and ethical codes of conduct.
  • FTRP maintains an absolute zero-tolerance policy for corrupt practices, collusive bidding, or unlicensed physical works. All suspected ethical breaches identified on our site or through our portal will be escalated immediately to CIRA and local anti-corruption authorities (in accordance with Section 11 of our Ethics & Compliance Policy).

7.0 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FTRP CONTRACTOR LTD, ITS DIRECTORS, EMPLOYEES, SUBCONTRACTORS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, SYSTEM DOWNTIME, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE WEBSITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE SPECIFIC DIGITAL SERVICE OR PORTAL ACCESS DIRECTLY CAUSING THE DISPUTE.

8.0 Indemnification

You agree to defend, indemnify, and hold FTRP, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:
  1. 1.Your use of the Website, secure portals, or CDE;
  2. 2.Your breach of these Terms and Conditions;
  3. 3.Any breach of your representations and warranties set forth in these Terms;
  4. 4.Your violation of the rights of a third party, including but not limited to intellectual property, trade secret, or privacy rights; or
  5. 5.Any overt harmful act toward any other user of the Website or employee of FTRP with whom you connected via the Website.

9.0 Governing Law & Dispute Resolution

9.1 Jurisdictional Law

These Terms and your use of the Website are governed by and construed in accordance with the laws of the Republic of Malawi, without regard to its conflict of law principles.

9.2 Dispute Resolution Protocol

Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall be resolved through the following progressive protocol:
  1. 1.Amicable Negotiation: The parties shall attempt to resolve the dispute through direct, good-faith executive negotiations within thirty (30) days of written notice.
  2. 2.Formal Arbitration: If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by binding arbitration under the Arbitration Act of the Republic of Malawi. The place of arbitration shall be Blantyre, Malawi, and the proceedings shall be conducted in the English language before a single, mutually agreed arbitrator.

10.0 Severability & Entire Agreement

10.1 Severability

If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.

10.2 Waiver

The failure of FTRP to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

10.3 Entire Agreement

These Terms and Conditions, alongside our published Privacy Policy, constitute the entire agreement and understanding between you and FTRP regarding your use of the public Website.

11.0 Changes to These Terms

We reserve the right to update or revise these Terms at any time to reflect legislative changes, regulatory updates by CIRA, or modifications to our digital platforms. Any changes will be posted on this page with an updated "Last Updated" date. You are encouraged to periodically review these Terms to stay informed of updates. Your continued use of the Website after the posting of changes constitutes your acceptance of the revised Terms.
